Terms of Use

MM Access is a private, internal software service operated by Mountain Merchant LLC (“we,” “us,” or “our”). It is intended only for authorized Mountain Merchant personnel and its expressly authorized service providers. It is not offered to the general public, and no person may use it without our authorization.

The service may request read-only access to a connected QuickBooks Online company for the limited purpose of retrieving accounting evidence for internal financial review, reconciliation, reporting, and operational oversight. It does not provide tax, legal, investment, accounting, medical, or other professional advice. Users remain responsible for reviewing all accounting records, decisions, filings, and communications with their own qualified advisers.

We may suspend, restrict, or end access at any time, including when access is no longer necessary, authorization is withdrawn, or we identify a security, privacy, or compliance concern. Disconnecting the service through QuickBooks ends future access; retained records remain subject to the retention and deletion practices stated below and applicable law.

The service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. To the fullest extent permitted by law, Mountain Merchant LLC disclaims implied warranties, and is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the service.

These terms are governed by the laws of Tennessee, without regard to conflict-of-law rules. Questions about these terms should be sent to online@shopelleboutique.com.

Who operates this service

Mountain Merchant LLC operates MM Access. Questions or requests concerning this notice can be sent to online@shopelleboutique.com.

Information we access

With an authorized QuickBooks Online connection, MM Access may access only the accounting information needed for internal financial review and reconciliation, such as company identity, chart-of-account information, accounting entries, invoices, bills, payments, deposits, transfers, credits, and vendor/customer records necessary to interpret those entries. The approved connector is read-only.

MM Access does not intentionally request QuickBooks Payroll, employee payroll information, QuickBooks Payments, bank-feed administration, provider writes, or data from unrelated legal entities. We do not sell QuickBooks data, use it for advertising, or make it publicly available.

How we use information

We use the information solely to:

  • perform internal accounting review, reconciliation, financial reporting, and operational oversight;
  • investigate data-quality, access, security, and reconciliation exceptions;
  • comply with legal, tax, accounting, audit, or recordkeeping obligations; and
  • protect the security and integrity of the service and related records.

We do not use QuickBooks data for unrelated marketing, behavioral advertising, or sale to third parties.

Storage, security, and sharing

Accounting evidence is retained in access-controlled, encrypted local storage. Authentication credentials and tokens are retained separately in the device keychain or provider-controlled secure credential storage, not in general documents, logs, or dashboards. Access is limited to authorized personnel and service providers with a legitimate need to support the stated purposes.

We may disclose information to professional advisers, service providers, or government authorities when reasonably necessary for the purposes above or when required by law. We do not otherwise share QuickBooks data except with the authorization of the applicable business or user.

Retention and deletion

We retain accounting evidence only for as long as reasonably necessary for financial review, reconciliation, recordkeeping, legal, tax, audit, and security purposes, subject to the following finalized retention schedule:

We retain accounting evidence for up to seven years after the applicable accounting period closes, unless a longer period is required for a legal hold, tax, audit, security, or other applicable legal obligation. After the retention period, data is securely deleted or archived under access-controlled retention procedures.

When a QuickBooks connection is disconnected, MM Access stops future collection from that connection. Existing retained records are handled under the final retention schedule and applicable legal obligations. We will delete or securely archive data when retention is no longer required, subject to legal holds and applicable recordkeeping obligations.

Your choices and requests

Authorized users may disconnect MM Access through QuickBooks and may contact us at online@shopelleboutique.com with questions or requests concerning their information. We will evaluate requests under applicable law and our legal, tax, accounting, audit, and security obligations.

Changes

We may update this notice as the service or applicable requirements change. We will post the updated version with a revised effective date.
